Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, mobile applications, and services operated by Nava Technologies Inc. (“Nava,” “we,” or “us”), an on-demand water-transit marketplace operating in Miami, FL.

By creating an account, booking a trip, listing a vessel, or otherwise using the Nava platform, you agree to be bound by these Terms. If you do not agree, please do not use the service.

01Eligibility

You must be at least 18 years old, capable of entering a binding contract, and not barred from receiving services under applicable law to use Nava. Captains and vessel owners must additionally hold all licenses, registrations, and insurance required by the U.S. Coast Guard, the Florida Fish and Wildlife Conservation Commission, and any applicable municipal authority.

02The Nava platform

Nava operates a marketplace that connects riders with independent, licensed captains and the vessel owners they represent. Nava does not own or operate the vessels on the platform and is not a party to the transport contract formed between a rider and a captain. Nava’s role is to provide the software, dispatch, payment processing, insurance coordination, and support that enable those trips to happen.

03Accounts and conduct

You are responsible for keeping your login credentials secure and for all activity that occurs under your account. You agree not to use the service to harass, defraud, interfere with safe operation of any vessel, or violate any law. We may suspend or terminate accounts that breach these Terms or create risk to riders, captains, owners, or the public.

04SMS messaging

By providing your phone number and opting in via the Nava website or apps, you consent to receive automated SMS messages from Nava for promotional and operational purposes, including offers, launch alerts, account verification, captain invitations, trip status updates, and payout notifications.

Message frequency varies. Message and data rates may apply. Reply STOP to unsubscribe at any time. Reply HELP for help. Standard messaging rates apply per your carrier plan.

SMS consent is not a condition of using Nava. You may use the service via email and in-app notifications instead.

05Pricing, fees, and payouts

Rider fares are displayed at the time of booking. Nava charges a platform fee on each completed trip, which varies by supply type (captain-supply vs. fleet-owner supply). Net proceeds are remitted to captains and vessel owners on the payout schedule selected in their partner dashboard.

All payments are processed through our third-party payment processor. Taxes, tips, cancellation fees, and additional cleaning or damage charges may apply under the specific policies disclosed in-app at the time of the trip.

06Safety and cancellations

Captains have final authority over whether to operate a vessel based on weather, sea conditions, equipment status, and rider conduct. Trips may be delayed, rerouted, or canceled for safety reasons. Nava provides no guarantee of on-time arrival and disclaims liability for delays caused by weather, mechanical issues, or conditions outside its reasonable control.

07Intellectual property

The Nava name, logo, website, apps, and all associated software and content are the property of Nava Technologies Inc. or its licensors and are protected by U.S. and international intellectual-property laws. You may not reproduce, modify, distribute, or reverse-engineer any portion of the service without our prior written consent.

08Investor disclosures

Any materials on this site that reference an investment opportunity in Nava Technologies Inc. are for informational purposes only. Securities are offered only through Netcapital Systems LLC (or its successor) under Regulation Crowdfunding and only to eligible investors through the official offering listing. Nothing on this site is an offer to sell or a solicitation of an offer to buy securities. Please review the official Offering Statement for terms and risk factors before investing.

09Disclaimers and limitation of liability

The service is provided on an “as is” and “as available” basis without warranties of any kind, express or implied. To the maximum extent permitted by law, Nava’s total liability for any claim arising from your use of the service will not exceed the greater of (a) the amounts you paid to Nava in the 12 months preceding the claim or (b) $100 USD.

10Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Miami-Dade County, Florida, unless you and Nava agree in writing to resolve it through binding arbitration.

11Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice. Continued use of the service after the effective date of any change constitutes acceptance of the revised Terms.
